General Terms and Conditions
§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts between DWC Websites, owner Leonhard Eng, Franz-Liszt-Straße 4, 01219 Dresden (hereinafter “DWC”) and its clients (hereinafter “Client”) for the creation and maintenance of websites and related services.
§ 2 Subject matter & services
The subject matter of the contract is the conception, design and technical implementation of websites as individually agreed. The specific scope of services is set out in the respective quote or order confirmation.
§ 3 Offer & conclusion of contract
Offers from DWC are non-binding. A contract is concluded as soon as the Client accepts the offer in text form (e.g. by email) or DWC confirms the order.
§ 4 Prices & payment
The prices stated in the quote apply. As a small business within the meaning of § 19 UStG (German VAT Act), no VAT is shown.
A deposit is due when the order is placed; the remaining amount is due after final acceptance of the website. Invoices are payable within 14 days without deduction.
§ 5 Client cooperation
The Client provides the content required for implementation (text, images, logos, access details) in good time and in a suitable form. The Client warrants that they hold the necessary rights to the content provided.
§ 6 Deadlines & completion
Dates given are guideline values unless they have been expressly agreed as binding. Delays caused by the Client's lack of cooperation extend agreed deadlines accordingly.
§ 7 Rights of use
After full payment, the Client receives the non-exclusive rights of use to the website created, unlimited in time and territory. Third-party components used (e.g. fonts, stock photos, open-source software) are subject to the licence terms of the respective providers.
§ 8 Warranty
DWC remedies demonstrable defects within a reasonable period. This requires a notice of defect in text form with a comprehensible description. Minor deviations that do not impair function are not considered a defect.
§ 9 Liability
DWC is liable without limitation for intent and gross negligence and for injury to life, body or health. Otherwise, DWC is liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. DWC is liable for loss of data only insofar as the Client has carried out reasonable data backups.
§ 10 Final provisions
The law of the Federal Republic of Germany applies. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected. Amendments and additions must be made in text form.
